1. Introduction
These Terms & Conditions govern your use of the AB Publisher LLC website and the professional publishing and related services provided by AB Publisher LLC (“AB Publisher,” “we,” “us,” or “our”).
By using this website, requesting a quotation, purchasing a service, approving a proposal, making a payment, or otherwise engaging AB Publisher LLC, you agree to these Terms & Conditions together with any applicable proposal, invoice, service agreement, statement of work, or other written agreement provided for your project.
If a project-specific written agreement conflicts with these general Terms & Conditions, the project-specific agreement will control for that project.
2. Our Services
AB Publisher LLC provides professional publishing and related services that may include:
- Book development and publishing strategy.
- Book writing and ghostwriting.
- Editing and proofreading.
- Book cover design.
- Interior formatting and book design.
- Print and eBook publishing.
- Audiobook production.
- Multilingual publishing, translation, and localization.
- Global book distribution.
- Amazon book advertising and related promotional services.
- Other publishing-related services agreed in writing with the client.
The exact scope, price, timeline, deliverables, and responsibilities for a particular project may be stated in a quotation, proposal, invoice, service agreement, or other written communication.
3. Quotations and Project Scope
Quotations and proposals are based on the information supplied by the client at the time they are prepared.
If the scope of a project changes after work begins, including significant increases in manuscript length, additional services, substantial changes to previously approved material, or work outside the original agreement, AB Publisher LLC may issue an additional quotation or fee.
Work outside the agreed scope will not be considered part of the original project unless confirmed in writing.
4. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete project information.
- Supplying manuscripts, images, references, credentials, approvals, and other materials reasonably required for the project.
- Reviewing drafts and deliverables within a reasonable period.
- Providing clear and consolidated revision instructions.
- Ensuring that materials supplied to AB Publisher LLC do not violate copyright, trademark, privacy, confidentiality, or other legal rights.
- Obtaining any permissions required for material supplied by the client.
- Making payments when due.
Delays in providing information, approvals, materials, or feedback may extend the project timeline.
5. Payments
Payment terms may vary according to the size and nature of the project and will normally be stated in the applicable proposal, invoice, or service agreement.
AB Publisher LLC may require full payment, a deposit, installment payments, or milestone payments before particular stages of work begin.
Unless otherwise agreed in writing, work may be suspended if a required payment becomes overdue.
The client is responsible for any bank charges, payment-processing charges, currency-conversion fees, taxes, or similar costs applicable to the client’s transaction unless expressly stated otherwise.
6. Cancellations and Refunds
Because publishing services involve professional time, research, creative work, technical work, and resource allocation, payments for work that has already commenced are generally non-refundable.
If a client cancels a project before work begins, AB Publisher LLC may refund amounts paid, less any non-recoverable payment-processing charges, third-party costs, or other expenses already incurred.
Where work has already begun, AB Publisher LLC may determine the value of work completed and any committed expenses before considering whether any unused portion of a payment is refundable.
Third-party charges that have already been paid or committed to external providers are generally non-refundable unless the applicable third party refunds those amounts.
If AB Publisher LLC is unable to provide an agreed service because of a material error or failure attributable to AB Publisher LLC, we will take reasonable steps to correct the problem without additional charge. Where correction is not appropriate or where these Terms specifically provide for a refund, the applicable amount will be refunded.
7. Revision Policy
Unless otherwise agreed in writing, AB Publisher LLC provides a maximum of five revisions for work performed directly by AB Publisher LLC.
This maximum applies to services including, but not limited to:
- Ghostwriting.
- Writing and content development.
- Editing.
- Proofreading.
- Translation and localization.
- Cover design.
- Interior formatting and related creative work.
A revision means a reasonable change or correction to work already delivered within the originally agreed project scope.
A revision does not include a complete change of direction, substantial rewriting caused by new client instructions, replacement of previously approved content, expansion of the original project scope, or additional services not included in the original agreement.
Work requested after the five included revisions may be subject to an additional fee.
8. Client Approval
Clients are responsible for carefully reviewing drafts, proofs, covers, formatted files, metadata, translations, and other deliverables before providing final approval.
Once the client approves material as final, subsequent changes may be treated as additional work and may attract additional fees.
AB Publisher LLC will make reasonable efforts to identify errors during its work, but final client review remains an important part of the publishing process.
9. Third-Party Platforms and Distribution
Some services provided by AB Publisher LLC depend on third-party companies or platforms, including retailers, distributors, printers, audiobook platforms, advertising platforms, payment providers, and other publishing services.
Examples may include Amazon and other book retailers or distribution partners.
AB Publisher LLC does not control the policies, technical systems, review processes, pricing rules, approval decisions, processing times, account restrictions, or business practices of third-party platforms.
We therefore cannot guarantee that a third party will accept, approve, list, distribute, advertise, or continue carrying a particular book or other product.
If a third-party platform rejects a submission or requires changes after submission, additional revisions or resubmission work may attract an additional fee. The client will be informed of any such fee before additional work is undertaken.
However, where a rejection is clearly caused by an error or failure attributable to AB Publisher LLC, the client will not be charged for correcting that error. If the rejection results from the clear fault of AB Publisher LLC and the affected service cannot be successfully delivered, AB Publisher LLC will provide a full refund of the fees paid for that affected service.
10. Third-Party Fees
Fees charged by third-party providers may be separate from AB Publisher LLC’s professional service fees.
Such costs may include, where applicable:
- Printing charges.
- Retailer or distribution fees.
- Advertising costs.
- Narration or production costs.
- ISBN or registration costs.
- Shipping fees.
- Platform charges.
- Payment-processing charges.
- Other external expenses.
Unless otherwise stated in writing, the client is responsible for these costs.
AB Publisher LLC is not responsible for changes made by third parties to their pricing, policies, services, or availability.
11. Intellectual Property and Ownership
Unless otherwise agreed in writing, once the client has paid all amounts due for the applicable project, the client will own the final custom deliverables created specifically for that client, including applicable manuscript, design, formatting, translation, localization, or other completed project files.
AB Publisher LLC retains ownership of its:
- Internal workflows and methods.
- Templates.
- Systems.
- Processes.
- Checklists.
- Proprietary tools.
- General know-how.
- Reusable materials not created exclusively for the client.
Ownership of third-party materials remains subject to the licensing terms of their respective owners.
No ownership rights transfer until all amounts due for the applicable work have been paid in full.
12. Client-Supplied Materials
The client represents that they own, control, or have appropriate permission to use all text, images, illustrations, photographs, trademarks, quotations, data, or other materials supplied to AB Publisher LLC.
The client is responsible for any claims arising from materials supplied by the client without appropriate rights or authorization.
AB Publisher LLC reserves the right to refuse material that appears unlawful, infringing, defamatory, fraudulent, or otherwise inappropriate.
13. Confidentiality
AB Publisher LLC will take reasonable measures to protect unpublished manuscripts, project materials, and confidential information supplied by clients.
We will not intentionally disclose confidential project information to unrelated third parties except where reasonably necessary to provide the agreed services, where authorized by the client, or where disclosure is required by law.
Clients should not send passwords, banking credentials, highly sensitive personal information, or other security-sensitive information through ordinary website contact forms or unsecured email unless specifically requested through an appropriate method.
14. Project Timelines
Any estimated delivery date is based on the project information and circumstances available at the time the estimate is provided.
Timelines may be affected by:
- Client response times.
- Revision requests.
- Changes in project scope.
- Third-party processing or approval times.
- Technical problems.
- Availability of required materials.
- Events beyond AB Publisher LLC’s reasonable control.
We will make reasonable efforts to communicate significant delays.
15. Publishing and Commercial Results
AB Publisher LLC provides professional publishing services but cannot guarantee any particular commercial outcome.
We do not guarantee:
- A specific number of book sales.
- Bestseller status.
- Royalties or profit levels.
- Amazon rankings.
- Advertising performance.
- Reviews or ratings.
- Media coverage.
- Retail acceptance.
- Distribution in every requested territory.
- Commercial success of a book.
Results depend on numerous factors outside our control, including market demand, book quality, pricing, competition, advertising budgets, retailer algorithms, platform policies, and reader preferences.
16. Advertising Services
Where AB Publisher LLC provides Amazon advertising or other promotional services, we will use reasonable professional efforts based on the agreed scope.
Advertising expenditure does not guarantee sales, profitability, rankings, impressions, clicks, or other specific results.
Advertising platform charges and budgets may be payable separately from AB Publisher LLC’s service fees.
17. Website Information
We make reasonable efforts to keep the information on our website accurate and current.
However, website content is provided for general information and may be updated, corrected, changed, or removed without notice.
Information appearing on the website does not constitute a binding quotation or contract unless expressly incorporated into a written agreement.
18. Limitation of Liability
To the extent permitted by applicable law, AB Publisher LLC will not be liable for indirect, incidental, special, consequential, or purely economic losses arising from the use of our website or services, including loss of anticipated profits, sales, business opportunities, or data.
Where AB Publisher LLC is found liable in connection with a particular paid service, our aggregate liability will generally not exceed the amount paid by the client to AB Publisher LLC for the service giving rise to the claim, except where applicable law does not permit such a limitation.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
19. Indemnification
To the extent permitted by law, the client agrees to be responsible for claims, losses, or expenses arising from materials supplied by the client, including claims relating to copyright infringement, trademark infringement, defamation, privacy violations, or unauthorized use of third-party content.
20. Suspension or Termination of Services
AB Publisher LLC may suspend or terminate work where:
- Required payments remain overdue.
- The client repeatedly fails to provide required information or approvals.
- The client requests unlawful or unethical work.
- The client materially breaches an agreement.
- Continuing the project would expose AB Publisher LLC or another party to unreasonable legal, financial, security, or reputational risk.
Where reasonably possible, we will communicate with the client before terminating a project.
21. Privacy
Our collection and use of personal information are governed by our Privacy Policy.
Users should review the Privacy Policy together with these Terms & Conditions.
22. Governing Law
These Terms & Conditions and any dispute arising from them will be governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
23. Severability
If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
24. Changes to These Terms
AB Publisher LLC may update these Terms & Conditions periodically to reflect changes in our services, business practices, technology, or legal requirements.
The updated version will be posted on this website with a revised “Last updated” date.

This is comprehensive enough for your current publishing business without becoming excessively legalistic.
One point I deliberately worded carefully is the refund caused by retailer rejection: I made it a full refund of the fee for the affected service, rather than necessarily refunding an entire multi-service publishing project. For example, a problem with global distribution would not automatically require you to refund properly completed ghostwriting, editing, cover design, and formatting work.
I recommend using this version. As with any business contract language, having a Missouri attorney review it eventually would be worthwhile, especially as the value of your client projects grows.
